Service Agreement

SERVICE AGREEMENT

This Service Agreement (the "Agreement") is entered into as of __________________ (the "Effective Date") by and between ADbundance Agency, hereinafter referred to as the "Service Provider," and Collier Recovery Organization, Inc., a 501(c)(3) nonprofit corporation organized under the laws of the State of Florida, represented by Britten Grayden, Executive Director, hereinafter referred to as the "Client."

1. Scope of Services. The Service Provider agrees to deliver comprehensive nonprofit launch strategy and brand development services for the Client, a Recovery Community Organization based in Collier County, Florida. The scope of work includes the following deliverables:

  1. Organizational Strategy & Ecosystem Blueprint: A comprehensive strategic plan covering:
  2. Brand identity and website structure
  3. Donor engagement architecture
  4. Revenue model and phased implementation timeline
  5. Partnership strategy and key performance indicators
  6. Revenue Model & Executive Compensation Framework: A detailed seven-stream revenue strategy including:
  7. Revenue projections to $1M+ in annual revenue by Year 3
  8. IRS-compliant executive compensation analysis with comparability data
  9. Rebuttable presumption process and board action items
  10. 36-Month Execution Playbook: A 10-phase operational roadmap covering:
  11. Legal foundation, brand and digital launch
  12. Network and affiliations, grant pipeline development
  13. Medicaid billing activation, earned revenue programs
  14. Awards and recognition strategy, fundraising engine
  15. Physical location planning and scaling strategy
  16. Month-by-month action items with research-backed rationale
  17. Brand Identity Development: Complete brand identity including:
  18. Color system and typography selection
  19. Logo design and comprehensive brand guidelines
  20. Website Design & Development: Full website build including:
  21. Information architecture and UX strategy
  22. Responsive design and development
  23. Conversion-focused copy optimized for community members and donors
  24. Donor Engagement Architecture: Complete donor strategy including:
  25. Recovery Circle monthly giving program with tiered structure, benefits, and growth targets
  26. Corporate sponsorship tier system and major gift cultivation framework
  27. Event strategy and year-end campaign strategy
  28. Logo Concept Generation: Original logo concepts including:
  29. CRO lettermark concepts and standalone brand mark concepts
  30. Full wordmark lockups delivered in scalable vector format

2. Compensation. The Client agrees to pay the Service Provider a fixed project fee of $12,000.00 (Twelve Thousand Dollars) for the complete scope of services described in Section 1. Payment is due in full upon execution of this Agreement and prior to delivery of final deliverables. Payment may be made via wire transfer, ACH, check, or credit card (subject to processing fees if applicable).

3. Timeline and Delivery. The Service Provider will deliver all deliverables described in Section 1 within sixty (60) calendar days of the Effective Date, unless otherwise agreed upon in writing by both parties. All deliverables will be provided in digital format (.docx, .html, .svg, .png, and/or .pdf as appropriate) via secure file transfer or shared project folder.

4. Intellectual Property. Upon receipt of full payment, all deliverables created under this Agreement become the exclusive property of the Client, including all brand assets, strategy documents, design files, code, and written content. The Service Provider retains the right to display the work in portfolio materials and case studies, unless the Client provides written notice requesting confidentiality of specific deliverables. Third-party tools, fonts, and frameworks used in the deliverables (such as Google Fonts or open-source libraries) remain subject to their respective licenses. The Service Provider will ensure all third-party components are licensed for commercial use by the Client.

5. Client Responsibilities. The Client agrees to: (a) provide timely feedback on deliverables within seven (7) business days of receipt; (b) designate a single point of contact (Britten Grayden) authorized to approve deliverables and provide direction; (c) supply any organizational information, existing brand materials, or content required for the Service Provider to complete the work; and (d) understand that strategic recommendations, including revenue projections, grant opportunities, and compensation frameworks, are based on research and professional judgment but do not constitute legal, financial, or tax advice, and that the Client is responsible for engaging qualified attorneys, CPAs, and other professionals for legal and financial compliance.

6. Revisions. The fixed project fee includes up to two (2) rounds of revisions on each deliverable after initial delivery. Revisions are defined as modifications to existing deliverables within the original scope. Requests that expand the original scope, such as additional deliverable types, new strategic analyses, or services not described in Section 1, will be treated as new work and quoted separately.

7. Confidentiality. Both parties agree to keep confidential any proprietary or sensitive information shared during the course of this engagement, including but not limited to business strategies, financial projections, donor information, compensation data, and organizational plans. This obligation survives the termination of this Agreement for a period of two (2) years.

8. Limitation of Liability. The Service Provider's total liability under this Agreement shall not exceed the total fees paid by the Client. The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising from the use of the deliverables. The deliverables include strategic recommendations and projections based on publicly available data and professional experience. These are provided as guidance and do not guarantee specific outcomes, grant awards, revenue targets, or organizational results.

9. Termination. Either party may terminate this Agreement with fourteen (14) days written notice. If the Client terminates after work has commenced, the Client will be invoiced for work completed to date based on the percentage of deliverables completed, with a minimum charge of 25% of the total project fee. If the Service Provider terminates, all completed deliverables will be delivered to the Client and a pro-rated refund will be issued for undelivered work.

10. Independent Contractor. The Service Provider operates as an independent contractor and is not an employee, partner, or agent of the Client. The Service Provider is responsible for their own taxes, insurance, and business expenses.

11. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under this Agreement shall be resolved in the courts of Collier County, Florida.

12. Entire Agreement. This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. Any amendments must be made in writing and signed by both parties.
